Welcome to US-FEX. These Terms and Conditions (“Terms”) govern your access to and use of the US-FEX platform, website, software, APIs, and related services (collectively, the “Platform”). By accessing or using the Platform, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using the Platform, you confirm that you have read, understood, and agree to be legally bound by these Terms. If you are using the Platform on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

2. Description of Services

US-FEX provides a digital logistics transaction platform that enables shippers, brokers, carriers, agents, and other logistics participants to manage freight transactions, workflow automation, document intake, bidding, dispatch coordination, and related operational processes.

US-FEX may modify, enhance, or discontinue features at any time.

3. User Accounts

Users must:

  • Provide accurate and complete registration information

  • Maintain the confidentiality of login credentials

  • Be responsible for all activity conducted under their account

US-FEX reserves the right to suspend or terminate accounts for violating these Terms.

4. Platform Use & Conduct

Users agree not to:

  • Use the Platform for unlawful or fraudulent purposes

  • Interfere with Platform security or performance

  • Attempt to reverse engineer or duplicate Platform functionality

  • Misrepresent shipment details, rates, or counterparties

Users are solely responsible for all freight transactions, agreements, and operational decisions made through the Platform.

5. Pricing Policy

5.1 Standard Per Load Fee

US-FEX charges a flat fee of $4.99 per load processed through the Platform (“Standard Load Fee”).

A “load” includes any shipment, tender, or transportation order that is:

  • Created

  • Accepted

  • Transmitted

  • Executed

through manual entry, API integration, automated document intake, or AI-driven workflows.

5.2 Intake Fee

Each user account receives 100 free intake transactions.

Additional intake transactions will be billed under a bulk subscription pricing model at rates communicated by US-FEX.

5.3 Bid Functionality Fee (2% Per Load)

If a user elects to use the Platform’s bid functionality, a 2% transaction fee based on the confirmed load rate (“Bid Load Fee”) applies instead of the Standard Load Fee.

The Bid Load Fee applies once bid functionality is utilized, regardless of:

  • Load reassignment

  • Rate modification

  • Load completion or cancellation

5.4 Election of Pricing Model

Fees are applied per load based on functionality used:

  • Standard dispatch → $4.99 fee

  • Bid functionality → 2% fee

US-FEX system records determine whether a load qualifies as bid-enabled.

No double charging applies. Only one fee will be assessed per load.

5.5 Billing & Payment Terms

Fees are calculated and payable at the time of load confirmation unless otherwise agreed in writing.

US-FEX may invoice users periodically and reserves the right to suspend service for unpaid balances.

5.6 Volume & Enterprise Pricing

US-FEX may offer customized pricing structures, including:

  • Volume-based fee caps

  • Blended pricing

  • Modified bid fee percentages

Such arrangements must be documented in a separate written agreement signed by both parties.

5.7 No Circumvention

Users may not attempt to avoid Platform fees by:

  • Negotiating off-platform after initiating bids

  • Modifying loads outside the Platform following bid activity

  • Using the Platform to source carriers and completing transactions externally

Violation may result in suspension, termination, or legal action.

6. Freight Transaction Disclaimer

US-FEX is a technology platform and is not a carrier, broker, or shipper.

US-FEX does not:

  • Guarantee payment

  • Assume liability for freight loss or damage

  • Enforce rate agreements between users

All freight obligations remain between the transacting parties.

7. Data & Platform Intelligence

Users acknowledge that US-FEX may collect and analyze operational data for:

  • Platform improvement

  • Workflow optimization

  • AI model training

  • Network analytics

Confidential shipment-specific data will be handled according to the US-FEX Privacy Policy.

8. Intellectual Property

All Platform software, design, workflows, algorithms, and branding remain the exclusive property of US-FEX.

Users receive a limited, non-transferable license to use the Platform.

9. Service Availability

US-FEX does not guarantee uninterrupted service. Availability may be affected by maintenance, upgrades, or external factors.

10. Limitation of Liability

To the fullest extent permitted by law, US-FEX shall not be liable for:

  • Indirect or consequential damages

  • Lost profits or lost business opportunities

  • Freight transaction disputes

Total liability shall not exceed the fees paid to US-FEX in the preceding 12 months.

11. Termination

US-FEX may suspend or terminate access:

  • For violation of Terms

  • Non-payment

  • Platform misuse

  • Regulatory or legal risk

Users may terminate accounts at any time, subject to outstanding obligations.

12. Governing Agreement

These Terms incorporate the US-FEX Pricing Policy.

If a Master Services Agreement or Enterprise Agreement exists, that agreement controls in the event of a conflict.

13. Governing Law

These Terms shall be governed by the laws of the State of [Insert State], without regard to conflict-of-law principles.

14. Changes to Terms

US-FEX may update these Terms at any time. Continued use of the Platform constitutes acceptance of the revised Terms.
